General Terms and Conditions of Delivery and Payment for Hannl Vinyl Care 1. Scope of application All of Hannl Vinyl Care, Remscheid, deliveries, services and offers are exclusively subject to these General Terms and Conditions of Delivery and Payment. In addition to these conditions, the terms of licensing of the products by the manufacturer shall also apply. All images, pictures, logos and names of products are owned by the manufacturer. Images or pictures of the products are exemplary and can vary from the delivered products. Upon appearance of new pricelists, printed materials, catalogues, change to our website, www.hannl-reinigungssysteme.de all previous offers and quotations lose their validity immediately. No other terms and conditions will apply in any circumstances unless agreed in writing and signed by authorised representatives from both Hannl Vinyl Care and the customer. The specifications and offers regarding the distributed products and descriptions are subject to any changes. In accordance to our continual technical improvement and development any changes made to the construction, the products, the printed materials and online publications shall be subject to correction without any liability on the part of Hannl Vinyl Care. Product changes are not assured property in the sense of the BGB (German civil code). The customer is alerted that any product, which does not conform to the contract, the customer does not need to accept. The contract of purchase is deemed to be concluded when Hannl has issued an order acknowledgement in writing, detailing the terms and conditions of the order (Email is valid) accepting the clients order, as well as, when the customer acknowledges the acceptance of the goods, this after the expiry of the deadline of returning the goods. Upon receipt, the customer must examine the goods and upon opening the original packaging, respectively the plastic wrapping, the customer accepts the copyright and warranty issues of Hannl Vinyl Care. The quotations of prices on printed materials, catalogues and online are final prices and include the valid value added tax (VAT/Mwst) the day the invoice was issued. Any VAT increase after prices are printed, Hannl Vinyl Care, Remscheid is entitled to adapt the new VAT immediately. Prices quoted do not include freight, insurance costs and packaging, assembling, installation, initiation or duties. The customer agrees, that when purchasing record vacuum cleaning machines, Hannl Vinyl Care is allowed to pass on customer data to distribution partners (third party).The exemption of transportation charges is not valid for record vacuum cleaning machines, since these are premium class goods and require special packaging. The shipping and handling fee is 35 Euro (incl. VAT/Mwst). 2. Parties Hans Günter Hannl, of Hannl Vinyl Care, 42899 Remscheid concludes contracts between customers, who are: a) competent capable people, over the age of 18, as well as b) legal persons, who reside in Germany, the European Union or in Switzerland (hereinafter referred to as customer). If an offer is mistakenly accepted by Hannl Vinyl Care. Hannl Vinyl Care is entitled to cancellation of the contract between the customers, reasoning why, within a limited period of time. 3. Retention of title and ownership Hannl Vinyl Care shall retain ownership of the goods delivered until full payment has been received. In circumstances where the purchased goods is processed or mixed, Hannl, Vinyl Care acquires co-ownership of the goods. The customer is allowed to sell the goods in regular course of business. Conformity of goods and warranties, exclusion of liability Hannl Vinyl Care warrants that the delivered state of the art products are free from defects. The warranty periods refer to German legal rules and regulations. Exempt are consumer and installation materials. The customer has full warranty on technical goods delivered from suppliers, in combination with the record vacuum cleaning machines. Hannl Vinyl Care is not liable for any warranty claims during the warranty period if resulting from abuse, misapplication, false handling, and customer mistreatment. Engagement and repairs by customers result in immediate loss of warranty. We point out that installation of electronic products is subject to rules and regulations of qualified electronic specialists. Hannl Vinyl Care shall not be liable for any damages caused to persons or property caused by defective products, incorrect or careless installation or initiation. Faulty materials will be replaced or repaired by us after careful inspection. The customer must examine the goods upon arrival and notify Hannl Vinyl Care in writing describing the exact deficiency. Returned deficiency goods must be accompanied by a copy of the delivery order or the invoice, otherwise the returned goods will not be accepted. The return shipping costs (normal post) will be covered, if the warranty period has not terminated and the deficiency is accepted by us. A credit note will be transferred to the customer’s account. The customer is obliged to carry the costs of the saving of the data on the goods. Hannl Vinyl Care, Remscheid is not liable for any direct, indirect or consequential loss or damage, as well as failure of any data medium. This is also valid for any services (programming/setting parameters/cleaning/installation) performed on products by Hannl Vinyl Care, Remscheid. 5. Place of performance and jurisdiction The place of performance for all obligations deriving from the contract of delivery and payment is Remscheid, Germany. Another place can solely be chosen by Hannl Vinyl Care, Remscheid, if, the customer is a merchant according to the HGB (German commercial law) or a public corporation. The place of execution or fulfilment for both parties, resulting from a failure of liability or warranty issues is dealt with by our business address Hannl Vinyl Care, 42899 Remscheid. |
